Dr. Florian Unseld

Florian Unseld advises clients on the legal opportunities and challenges at the heart of their business operations. Whether it is about the introduction of new distribution systems, the entry into new markets, the implementation of global procurement systems or the realisation of other complex business ideas, Florian draws on his experience in finding creative, pragmatic and economic solutions. Florian has a special focus on specific industries, notably on retail, consumer and luxury goods, industrial goods (automotive, aerospace & defence, chemicals, railway) and logistics. Moreover, he advises clients when they are entering into new industries where the legal environment is new to them. 

Florian advises clients on all aspects of national and international trade and distribution law, often at the interface of IT law and intellectual property law, and consumer protection law. Amongst the main areas of his work is the drafting and negotiating of contracts, e.g. for sale and purchase, distribution, cooperation, research and development, know-how protection and (IT)-outsourcing, as well as the representation of clients in contract negotiations and distribution disputes. In addition, Florian advises on related regulatory matters, notably export control law. During a secondment in the legal department of a global IT company, Florian gained in-house experience particularly in international commercial contracts. 

Florian studied in Constance, Cardiff and Munich and attended an LL.M. program at the University of New South Wales in Sydney. In addition, Florian did his doctorate at the Ludwig-Maximilians-University in Munich. During his legal education, Florian completed internships in a law firm in the US and in the London office of Hogan Lovells.

Advising a global luxury goods company (jewellery) on the introduction of new, global distribution systems and the drafting of the model contract portfolio therefor.

Drafting of a model contract portfolio (NDA, LoI, Development Contract, Frame Sales Agreement, T&C's) for a global premium automotive OEM.

Advising a chemical company with respect to the drafting and negotiation of a high-volume contract for the procurement of raw materials with a Brazilian supplier.

Advising a global luxury goods company (beverages) on the drafting of commercial contracts (sale, marketing, distribution) and all questions of distribution law (including disputes with distributors).

Advising a global premium automotive OEM on the roll-out of connected cars services in 20 jurisdictions, including advice on the distribution system and drafting of the relevant contracts.

Advising a global provider of satellite services on the export of dual-use items to different African states, including the procurement of relevant approvals from the competent German export control authority.

Advising a global vehicle manufacturer on the outsourcing of a business unit as part of a joint venture, in particular with regard to the drafting and negotiation of commercial contracts for the operation of the joint venture company.

Advising a luxury fashion label on a distribution law dispute with a distributor for Germany, Austria and Switzerland, including in-court representation and negotiation of a settlement.
