Dave Wallace advises clients from around the world in U.S. securities matters, with an emphasis on international capital markets transactions. His practice focuses on cross-border securities offerings, including high yield and investment grade notes offerings, initial public offerings, liability management transactions and mergers and acquisitions. Dave also regularly provides general U.S. corporate and securities law advice to both U.S. and international clients.
Dave has extensive experience representing issuers and underwriters in the emerging markets across Southeast Asia and Greater China, and has spent much of his career living and working in the region. Dave has represented clients in Thailand, India, Indonesia, Mongolia, Singapore, China, Hong Kong, Vietnam, the Netherlands, Germany, the UAE and offshore jurisdictions. He has advised on numerous exempt offerings of 144A/Reg S senior notes, as well as registered offerings in the United States by foreign private issuers and U.S. public companies. He has also acted as international counsel for initial public offerings on the Thai SET, India’s BSE, Indonesia’s IDX and Hong Kong’s HKEX. He has represented companies across a range of industries, including power and infrastructure, natural resources, real estate and consumer retail.
Prior to joining the firm in New York, Dave worked at an Am Law 200 international law firm in Hong Kong. He has also worked in-house with a U.S. publicly-listed company and a major U.S. investment bank, giving him valuable perspective into the needs of his clients.

Equifax Inc. in its acquisition of Boa Vista Serviços, one of Brazil’s leading credit bureaus, at an enterprise value of US$583m, and its SEC-registered IPO of Brazilian subsidiary shares.
