Shirley Ureña assists with a wide range of executive compensation and benefits-related matters. Shirley advises both public and private companies on the complicated intersection of related tax, employment, securities, and corporate law issues largely in connection with mergers and acquisitions, initial public offerings, and other corporate transactions.
In addition, Shirley regularly helps clients design, draft, negotiate, and administer a broad array of compensation-related agreements, plans, and programs. In particular, she regularly advises on equity-based and cash-based incentive plans and agreements and on executive employment, change in control, deferred compensation, and severance plans and agreements.
Prior to joining the firm, Shirley worked in Ernst & Young’s People Advisory Services department where she focused on various executive compensation and employee benefits issues with respect to foreign and domestic equity-based incentive plans, long-term incentive plans, ERISA and Affordable Care Act compliance, and qualified retirement benefit plan matters.
