FDI, FSR, Outbound Investment Screening: Navigating the new challenges of global M&A transactions

M&A activity faces more and more regulatory scrutiny around the globe. CFIUS, national security and other FDI screenings of foreign investments continue to surge in the U.S., UK, and EU Member States. In addition, later this year, the EU Foreign Subsidies Regulation will implement a new notification scheme to the EU for transactions above a certain threshold. Finally, the Biden Administration is planning to release an executive order that is expected to establish an outbound investment screening mechanism with implications for investments into China and other countries of concern. The EU has already announced it plans to consider introducing a similar instrument.

Join Hogan Lovells Antitrust, FDI and Trade team on Thursday, 1 June 2023, where we will discuss these new challenges of cross-border merger reviews. Particular aspects will include:

  1. New FDI regimes coming into force in the course of 2023 and how to identify filing requirements for global M&A transactions.
  2. Notification requirements under the EU Foreign Subsidies Regulation and what companies can do now to prepare for potential filings.
  3. U.S. outbound investment screening mechanism and how it may affect investments into China and other countries of concern.

The discussion with our regulatory lawyers Anne SalladinFalk Schöning, and Francesco Pili will be moderated by Mahvesh Qureshi from our corporate team, who will discuss how to best consider the new regulatory challenges from a transactional perspective.
