FDI, FSR, Outbound Investment Screening: Navigating the new challenges of global M&A transactions

M&A activity faces more and more regulatory scrutiny around the globe. CFIUS, national security and other FDI screenings of foreign investments continue to surge in the U.S., UK, and EU Member States. In addition, later this year, the EU Foreign Subsidies Regulation will implement a new notification scheme to the EU for transactions above a certain threshold. Finally, the Biden Administration is planning to release an executive order that is expected to establish an outbound investment screening mechanism with implications for investments into China and other countries of concern. The EU has already announced it plans to consider introducing a similar instrument.
