Anne Salladin advises foreign and domestic clients in various industries on matters at the intersection of international business and national security, in particular before the Committee on Foreign Investment in the United States (CFIUS).

Anne dedicated nearly 20 years of service to the Office of the Assistant General Counsel for International Affairs of the Treasury Department, which provides legal advice to the Secretary of the Treasury as Chairperson of CFIUS. As a Senior Counsel and official of the Treasury Department, she was responsible for providing legal advice to the Secretary of the Treasury on CFIUS matters, negotiated mitigation agreements, worked closely with other CFIUS agencies, played a role in developing the CFIUS laws and regulations, and participated in the review and investigation of well over 500 transactions filed with CFIUS, including many major Chinese acquisitions. She is one of only a few CFIUS practitioners in private practice with extensive background and experience in CFIUS matters with the Treasury Department, the agency that oversees the CFIUS process.

In addition to her foreign investment work, while at the Treasury Department, Anne worked on government-to-government arrangements tied to the Mexican and Asian financial crises and worked extensively on matters relating to sovereign wealth funds.  She has significant experience in matters relating to Japan and was part of a Treasury Department delegation that negotiated with the Japanese Government relating to market access and other issues. She also has significant experience in sovereign debt restructuring involving Argentina, Greece, and other countries. Anne was part of the G-10 working group focused on sovereign debt documentation designed to facilitate orderly resolution of sovereign debt crises. Anne received several awards during her Treasury Department tenure, including the Secretary of the Treasury’s Meritorious Service Award.

Representative experience

NuScale Power and Fluor Enterprises, in securing CFIUS approval regarding the sale of a portion of Fluor’s equity interest in NuScale to the Japan Bank for International Cooperation.

NuScale Power in securing CFIUS approval in connection with a PIPE investment by a South Korean entity in a transaction where NuScale became a publicly-traded company through the use of a SPAC.

3M Company in securing CFIUS approval on the sale of its advanced ballistic protection business to UK-based Avon Rubber plc.

Grifols S.A., a Spain-based pharmaceutical company, in securing CFIUS approval regarding a nearly $1.0 billion investment in a U.S. subsidiary of Grifols by a subsidiary of GIC (Ventures) Pte. Ltd.

Grifols S.A., a Spain-based pharmaceutical company, in securing CFIUS approval regarding the acquisition by Shanghai RAAS Blood Products Co. Ltd, of a minority interest in a Grifols subsidiary.

Multinational company concerning an acquisition of two companies organized in the U.S. that provide information technology services to a variety of customers, such as the U.S. Government.

KUKA AG in securing CFIUS approval  and before the U.S. Departments of State and Commerce in connection with Midea Group Co. Ltd.'s US$5bn acquisition of KUKA.**

Linde AG in securing CFIUS approval and before the U.S. Department of Defense in connection with its US$87bn business combination with Praxair Inc.**

Prysmian Group in securing CFIUS approval and before the U.S. Departments of Commerce and State in connection with its US$1.5bn acquisition of General Cable Corp.**

NXP Semiconductors N.V. in securing CFIUS approval in connection with the sale of certain assets to a Chinese private equity firm.**
