For more than 35 years, Andrew Trubin has solved problems for clients in cross-border and domestic M&A, commercial and financing transactions in the pharmaceuticals, chemicals, high-performance materials, REIT, and banking industries. Three decades of deals involving European businesses, including a four-year residency in Paris, enables him to solve problems that can be as much cross-cultural as legal or business-based.

Andy also plays an active role on our U.S. Opinions Committee and as a go-to firm source on matters of New York law, limited liability companies, limited partnerships, and private-company structuring and governance.

Andy began his career clerking for a judge in the Southern District of New York, but soon felt the appeal of advocating for clients towards a common goal in transactional work. Over the next 18 years, he represented clients at a major New York-based international firm in acquisitions, combinations, divestitures, joint ventures, public and private financings, and licensing transactions in the biotech, drugs, medical devices, specialty chemicals, and minerals industries. During his years in Paris, he worked on Euro Disneyland and a range of strategic, commercial, and finance transactions for U.S. and European companies.

After joining our New York office in 1998, Andy continued his cross-border transactional work while working on domestic real estate financings and debt restructurings for hotel, office and residential REITs, as well as M&A and debt/hybrid securities transactions for financial institutions.

Representative experience

Represented a French high-performance materials manufacturer in buying a U.S. manufacturer of power distribution components and French subsidiary.
Represented a U.S. financial institution in buying 10 telecom subsidiaries of a bankrupt borrower located in three Caribbean jurisdictions.
Represented a U.S. drug company in joint ventures uniting its global prescription and over-the-counter businesses with those of a French drug company.
Represented a French high-performance materials manufacturer in selling 12 subsidiaries in eight countries comprising a carbon components business line.
