Nicolas Usandivaras practices general corporate, finance law and capital markets, with an emphasis in Latin America. As a member of the Infrastructure, Energy, Resources and Projects team at Hogan Lovells, Nicolas handles project development, finance, and corporate matters. Nicolas also has experience advising financial institutions and corporate issuers on debt and equity capital markets transactions. 

Prior to joining Hogan Lovells, Nicolas was an associate in the Capital Markets practice of an international law firm in its New York office. Nicolas has also worked for top-tier law firms in Buenos Aires, Argentina, where he offered comprehensive corporate advice to both local and foreign investors. His expertise covered various areas such as mergers and acquisitions, corporate reorganizations, and corporate financings.

Nicolas holds a Juris Doctor (JD) degree from Austral University in Buenos Aires, Argentina, and has pursued an LL.M program at Fordham School of Law in New York. He is admitted to practice law in both New York and Buenos Aires, Argentina.

Representative experience

Advised the joint bookrunners in connection with an offering by a Mexican state-owned oil company offering of $2 billion 10.000% notes due 2033.*

Advised the dealer manager, in connection with an abbreviated cash tender offer by a U.S Corporation for any and all of its outstanding 4.500% senior notes due 2023.*

Advised the joint book-running managers in connection with an offering by a US Corporation of US$775 million aggregate principal amount of their 6.125% senior notes due 2028.*

Advised Canadian financial institution on its offering of US$750,000,000 of 8.625% Fixed Rate Limited Recourse Capital Notes, Series 4 (Non-Viability Contingent Capital) (subordinated indebtedness).*

Advised a U.S. Chemical Company on its offering of US$1.5 Billion 6.300% notes due 2033 and US$900,000,000 6.900% notes due 2053.*

Advised the remarketing agent and initial purchaser in connection with the second remarketing of US$288,053,435 8.750% notes due 2029 issued to certain suppliers of a Mexican state-owned company.*

Advised Chilean financial institution, in connection with their first issuance of US$300 million 4.750% Senior Notes due 2032. *

Advised the bookrunners in connection with a Mexican state-owned company offering of US$1 billion 6.700% notes due 2032 with Concurrent Exchange Offers and Offers to Purchase for Cash.*

Advised a Dominican power generation company, in connection with the issuance of US$300 million 5.625% Sustainability Linked Senior Notes due 2028. *

Advised  a Chilean bank in connection with its inaugural Rule 144A/Regulation S offering of US$500 million 3.177% senior fixed-rate notes due 2031.*

Advised a multinational mining company, in the merger of four of its Argentinean subsidiaries and its corporate reorganization.*

Advised a multinational chemical company on its spin off and the corporate reorganization of its Latin American subsidiaries.*

Assisted a leader company in supplying energy solutions, on its bond issuance of US$50.000.000 to finance the construction of Eolic parks in the south of Argentina.*

Advised an international financial institution on its corporate governance reorganization process in Latin America.*

Advised multinational mining company in 50% sale of one of its projects in Argentina to leading underground mining company in China-total amount of US$ 960 million/formation of 50/50 joint venture. *

Advised remarketing agent on the remarketing of US$1.5 Billion in debt securities of a Mexican state-owned company in connection with its liability management transaction.
