Hogan Lovells advises Endemol Shine on the sale of their shares in W&B Television

Press releases | 18 November 2019

Led by Hamburg partner Alexander Koch, Hogan Lovells has advised Endemol Shine Group Germany GmbH, part of the world's largest independent television producer Endemol Shine Group, on the sale of its interests in W&B Television GmbH & Co. KG to LEONINE. The buyer is the KKR-backed German media company formed through the merger of Tele München Group, Universum Film, i&u TV, and who earlier this year acquired the film division of Wiedemann & Berg (W&B Film).

At the same time Endemol Shine Group Germany has established a wholly owned subsidiary for fictional productions in Berlin to take over the assets of W&B TV's Berlin-based business.

The transaction is expected to close in early 2020, subject to regulatory approvals and compliance with customary closing conditions.

Hogan Lovells advised Endemol Shine Group Germany on the preparation and negotiation of the transaction documentation, the termination of the existing joint venture agreement as well as on the merger control and carve-out of the Berlin-based assets of the target company's business.

"We are very happy that we could advise Endemol Shine on all aspects of this transaction with our legal expertise," said Alexander Koch.
