Hogan Lovells advises OLB and a.s.r. in €500 million joint acquisition of NIBC Bank’s private loan portfolio

Amsterdam, 13 June 2022 - Global law firm Hogan Lovells has advised Oldenburgische Landesbank AG (OLB) and Dutch insurance company a.s.r. on a joint acquisition of NIBC Bank’s existing private loan portfolio.

The total portfolio includes loans to 38 companies which will be split between a.s.r. and OLB. OLB has acquired the German portfolio and a.s.r. has acquired 19 clients and concerns financing to mainly medium-sized companies in the Netherlands. The majority of the loans are to mid-market private equity owned companies, based primarily in Germany and the Netherlands. 

The Hogan Lovells team was led by Amsterdam-based partners Wouter Jongen (Banking) and Danielle du Bois-Buné (M&A) with support from a cross-border team. Key support was provided by Joke Bodewits (Privacy and Cybersecurity partner, Amsterdam), Alexander Fortuin (Tax counsel, Amsterdam), Maria Benbrahim (Employment counsel, Amsterdam), Marieke Plaisier (M&A associate, Amsterdam), Iléne Baltes (Banking associate, Amsterdam), Bianca Engelman (Banking partner, Frankfurt) and John Connell (M&A partner, London).

This transaction follows a very active first half of the year for our Corporate & Finance team in the Netherlands. We advised EFIC1 on its de-SPAC business combination with digital entertainment and media company Azerion, Cardano on the acquisition of ACTIAM and a major multinational asset manager on the sale of a European bakery group to a portfolio company of a private equity investment firm.

On the financing side, we assisted Egeria with the financings supporting the acquisitions of FinancialLease.nl, Accent Automatisering and Arcus IT. We advised Parcom’s lenders on the acquisitions of Bouwgroup Dijkstra Draisma and Zorg van de Zaak. The team also advised Waterland’s lenders on the acquisitions of Partou and Aliter Networks Holding, Novelli Presa and Van Wanrooij Waardenburg.
