Hogan Lovells Advises Banco do Brasil in US$750M Senior Unsecured Notes Offering and Concurrent Tender Offer

São Paulo, New York, October 4, 2021 – Global law firm Hogan Lovells  represented Banco do Brasil in its issuance of US$750M in senior notes and concurrent intermediated tender offer for outstanding notes issued by Banco do Brasil.  

The new issuance under Banco do Brasil’s Euro Medium Term Note Program was priced on September 13th and closed on September 30th. The new issuance, which was listed on the Luxembourg Stock Exchange, was placed with investors by UBS Securities, BofA Securities, Banco BTG Pactual, HSBC Securities and Santander Investment Securities. The tender offer was an offer to purchase three series of Banco do Brasil’s notes outstanding for an aggregate consideration of US$750M, through HSBC Securities (USA) Inc., as purchaser.

Banco do Brasil is one of the largest financial institutions in Latin America. This transaction is the first listed notes offering for Banco do Brasil since March 2019, a transaction in which Hogan Lovells represented the financial institutions acting as Dealers. Hogan Lovells had also previously represented Banco do Brasil on a tender offer and bond issuance in 2018.
