Daniel Garcia is a life-science transactional attorney who represents companies in all types of corporate, business, and commercial transactions. Daniel’s practice is primarily focused on providing legal advice and representation to domestic and international pharmaceutical and biotechnology companies (ranging from start-ups to publicly-traded companies) at all stages of development of their product.

As an experienced corporate attorney, Daniel regularly assists clients with corporate formation, corporate governance, and providing general advice on a company’s day-to-day operations, including drafting employment, consulting, and non-disclosure agreements, among others.

Daniel’s practice is also focused on drafting, reviewing, analyzing, structuring, and negotiating all types of complex commercial agreements specific to the life sciences industry, including pre-clinical agreements, clinical trial agreements, manufacturing agreements for commercial supply, licensing agreements, and various types of agreements with vendors, service providers, or outside parties including Master Services Agreements with Contract Research Organizations, services agreements with public and private institutions, and collaboration agreements.

Daniel is also experienced in transactional law, particularly in connection with drafting and negotiating complex M&A and financing transactions, including assisting clients on merger agreements, equity purchase agreements, asset acquisition agreements, share exchange agreements, and private financing transactions involving debt securities and equity financing. Daniel’s knowledge and experience in the civil law system, particularly in Mexico, helps him provide valuable cross-border transactional services to clients seeking to do business in the U.S. and Mexico (as well as other countries in Latin America).

A private equity investment firm in the acquisition of a Mexican holdings company and its Latin American subsidiaries.*

A global supplier of technical textiles for the automotive industry in connection with the acquisition of a Texas-based corporation.

A Hong-Kong based company that operates in the financial services industry in connection with the acquisition of all of the equity interest held by a Texas-based limited liability company.

Bellicum Pharmaceuticals, a clinical-stage biopharmaceutical company in connection with the sale of a biomanufacturing facility.*

Caramelos Don Picoso, S.A. de C.V., a Mexico-based manufacturer and distributor of candy, on the negotiation of a Manufacturing Supply Agreement with a Texas-based entity.

Immatics, on its U.S. legal matters including collaboration with MD Anderson Cancer Center, licensing transactions, manufacturing, and clinical trial contracting, and other matters.

Plus Therapeutics, a clinical stage cancer company, in connection with clinical trial site negotiations, sponsored research, and other legal matters.

OncoResponse, a pre-clinical stage biotech company, in connection with the negotiation of manufacturing supply agreements and other corporate matters.**

Salarius Pharmaceuticals, a cancer-focused biotechnology company, on its strategic acquisition of certain assets from another company as well as various commercial agreements and corporate matters.

Several biotechnology companies on complex commercial agreements such as licensing, commercial and clinical supply, master services, collaboration, and clinical trial agreements.
