M&A Boot Camp training series
Welcome to the event page for Hogan Lovells' 2023 M&A Boot Camp, an annual introductory M&A legal training series for law students, junior lawyers, junior bankers, and junior corporate development professionals.
The series is a mix of live interactive webcasts and on-demand modules offering an intensive but basic introduction to the legal aspects of the M&A world. It provides a foundation in M&A terminology, deal structure, key acquisition agreement provisions (focusing primarily on acquisitions of privately held businesses), due diligence, and more.
The Boot Camp program utilizes innovative teaching methods, including illustrative interactive negotiations and semi-animated training cartoons, and includes a comprehensive set of M&A training materials.
The course will be taught by Hogan Lovells' market-leading Silicon Valley M&A team consisting of partners Rick Climan, Keith Flaum, and Jane Ross. Listen to the welcome message for law students to hear more about the M&A Boot Camp.
You will earn a Certificate of Graduation if you receive a passing score on the open-book final exam.

Each on-demand module is approximately 1.5 hours in length. The total estimated time that Boot Camp participants should plan on devoting to the program, including time spent previewing materials to prepare for each on-demand session and time spent viewing all sessions, is 10 to 12 hours over the course of seven weeks.
M&A Cartoons

CLE
Each session is expected to be eligible for the following CLE credit:
- California 1.5 General
- New York 1.5 Professional Practice
- Texas 1.5 General
- Universal credits 1.5 General
A numerical code will be shown during each session. Record the code on the CLE affirmation form for each session and submit to [email protected]. A Certificate of Graduation is not required to obtain CLE credits. CLE affirmation forms:
- Introduction to M&A
- Structuring the acquisition of a privately held business
- Live mid-term webcast (.5 credit)
- Introduction to the definitive acquisition agreement; negotiating and drafting representations and warranties
- Negotiating and drafting pre-closing covenants and walk rights
- Negotiating and drafting indemnification provisions; negotiation cartoons
By registering for the Boot Camp, you will obtain free access to optional M&A videos from Hotshot, a provider of digital learning for the legal industry. These videos provide supplemental information which you may find useful.
The Hotshot M&A videos are OPTIONAL. They are not a required part of the M&A Boot Camp curriculum. You will not be tested on them, and you do not need to view them in order to receive a Certificate of Graduation. You may view the optional Hotshot videos via the Hotshot learning track.
