Over a span of decades, Tom Woolsey has been helping clients successfully develop, construct and finance electric generation projects, combining his depth of industry knowledge with a practical approach to deal making.

As one of the early participants in the independent power industry in the United States, Tom has been the lead attorney on major transactions for large and small companies involving both generation projects and electric distribution companies, and has played a leading role in the successful development, acquisition, disposition, and financing of projects with more than 10,000 MW of generating capacity in the United States and Latin America.

Tom has served as lead counsel for several project sponsors in major debt and equity financings for renewable energy electric generation facilities and for thermal electric generation facilities, including some of the world's leading developers and owners of such facilities. Although focused in the energy sector, Tom also has substantial experience with mergers and acquisitions in other industry sectors and has led successful acquisitions and dispositions of businesses in a variety of industries.

Tom is one of the thought leaders within and outside the firm regarding renewable energy projects. A general counsel for a major international renewable energy company called him "the professor" when it came to wind projects. He also has substantial experience with simple and combined cycle natural gas-fired facilities, and biomass and geothermal projects. Tom regularly helps clients with respect to the acquisition and disposition of assets and companies, development of electric generation projects, engineering, procurement and construction contracts, equipment procurement contracts, power purchase agreements, tolling agreements, operation and maintenance agreements, joint venture structures, and general commercial practice and contract issues.

Representative experience

Represented RPM Access in connection with the sale of four construction-ready wind projects totaling 528 MW to MidAmerican Energy Company.
Represented a major developer in connection with a tax equity financing for a 26 MW wind energy electric generating facility.
Represented a major developer in connection with the acquisition of a 550 MW photovoltaic solar power project and the related JV negotiations.
Represented sponsor and issuer in connection with a syndicated bank financing of the then largest U.S. wind project.
Represented a major international renewable energy company in the negotiation of the EPC contracts for two hydroelectric projects in Central America.
Represented a major developer in connection with the sale and construction of an up to 246 MW wind energy electric generating facility to a utility.
Represented a major developer in connection with the sale of five gas-fired electric generation stations with an aggregate capacity of 2,700 MW.
Represented a major developer in connection with two capital markets financings for a portfolio of nine wind energy electric generating facilities.
