Hogan Lovells advises Commerzbank AG on a scrip dividend of Hamborner REIT AG

Led by Frankfurt-based partner Michael Schlitt, international law firm Hogan Lovells advised Commerzbank AG on the payment of a scrip dividend and the related rights issue by Hamborner REIT AG.

The shareholders' meeting of Hamborner REIT AG resolved a dividend payment of EUR 0.47 per share on 8 October 2020. The shareholders were given the choice of receiving the dividend in cash only or partly in cash and partly in the form of shares of Hamborner REIT AG. During the subscription period shareholders holding a total of 25.73% of pro rata dividend entitlements chose the scrip dividend instead of the cash dividend. To create the 861,922 new shares, Hamborner REIT AG increased its share capital by making use of authorized capital.

Hogan Lovells advised Commerzbank AG in its role as financial advisor and process bank on all issues concerning the structuring and execution of the transaction.
