Hogan Lovells advises ADVA Optical on a business combination agreement with ADTRAN

With a team led by Munich partner Michael Rose and New York partner Richard Aftanas, international law firm Hogan Lovells has advised the SDAX-listed company ADVA Optical Networking SE on the conclusion of a business combination agreement with Nasdaq-listed ADTRAN Inc.

With the merger of both companies, it is intended to create a globally leading provider of end-to-end fibreglass network solutions for network operators, companies and authorities. To realise the merger, ADVA and ADTRAN are to be brought together under a new holding company which was founded by ADTRAN as the subsidiary company and which will apply for listing on the Nasdaq and the Frankfurt Stock Exchange. Both companies are intended to become subsidiaries of the holding company: ADTRAN by way of a merger and ADVA by way of a public exchange offer. The takeover bid is subject to the usual closing conditions, including the acquisition of at least 70 percent of the outstanding ADVA shares as well as approvals under merger control law and foreign trade law in various jurisdictions.

Hogan Lovells has been advising ADVA Optical Networking SE extensively on all issues and transactions relating to corporate law and capital markets law since 2009. Partner Michael Rose advised the SDAX-listed company, among other things, on its conversion to an SE and on the acquisition of MRV Communications Inc.
