Merlin Laufenburg advises national and international companies on M&A and joint venture transactions, corporate law issues and the negotiation, drafting and termination of complex contracts. Merlin Laufenburg has been involved in several intra-group restructurings.

A focus of Merlin Laufenburg's practice is advising particularly regulated companies, e.g. due to public law control, a prominent market position or activities in a sensitive area.

Merlin Laufenburg has already worked for several years as a research assistant in our Corporate/ M&A practice group. During this time, he was extensively involved in advising corporate bodies in M&A transactions and in various post-M&A disputes.

Advising NRW.BANK on the sale of the former WestSpiel Group to the Gauselmann Group.

Advising Rhenus on the acquisition of a majority stake in LBH Group.

Advising a major infrastructure service provider on the reallocation of fuel and LPG distribution rights at service stations.

Advising NRW.BANK and NORD/LB on the sale of Bremer Spielcasino GmbH & Co. KG to Bremer Totto und Lotto GmbH.

Advising Fressnapf Beteiligungs GmbH on the joint acquisition of the Arcaplanet Group with Cinven (2022).

Advising Fressnapf group on the acquisition of the remaining majority stake Italian Arcaplanet Group from Cinven and the acquisition of a shareholding in Fressnapf Holding SE by Cinven (2024).

Advising a minority shareholder of a German hidden champion on the possible exclusion of a co-shareholder and the sale of shares.

Advising a Tier1 supplier on the acquisition of a major charging station producer.

Advising Erste Abwicklungsantalt (EAA) in connection with the termination of a long-standing service agreement.

Advising a municipal utility on the establishment of a cooperation with energy service providers.

Advising an international energy company on the reorganization of its German business.
