Heiko Gemmel focuses on all tax aspects of financing structures, portfolio transactions, equity and debt capital market transactions, M&A and real estate transactions as well as group restructurings, in particular in a cross-border context. He also advises on all tax aspects of the structuring of alternative investment funds and on associated regulatory issues.

He regularly advises clients from the financial industry sector (banks, winding-up agencies, insurance companies and funds) and has a broad experience in leading and coordinating an international tax team on large and complex cross-border transactions.

Heiko joined the firm in 2003 and is qualified as a lawyer and as a certified tax advisor (Steuerberater). He was appointed as the Office Managing Partner of the firm's Dusseldorf office on January 1, 2020.

Representative experience

Advising FMS Wertmanagement (FMS-WM) on the acquisition of DEPFA BANK plc and its subsidiaries from Hypo Real Estate Holding AG (HRE).

Advising Henderson Global Investors on the tax structuring and the establishment of a joint venture between Henderson Global Investors and Teachers Insurance and Annuity Association – College Retirement Equities Fund (TIAA–CREF).

Advising T-Mobile on a complex factoring transaction, in which pools of wireless phone bill receivables were sold to Helaba and BTMU.

Advising Erste Abwicklungsanstalt on the acquisition of risk assets and non-strategic business units of WestLB in the amount of approx. €71bn.

Advising FMS Wertmanagement on the acquisition of a portfolio consisting of risk assets and non-strategic business units and on the organisational set-up of FMS-WM.
