Pablo Gardea brings a creative and effective approach when advising fund sponsors across the investment fund formation landscape. He focuses on understanding his clients' strategy and investor base in order to best counsel them through the capital formation process.

Pablo regularly advises established and first-time investment fund sponsors on fund structuring, corporate governance and investor relations matters, as well as individuals and institutions on potential investments and negotiations with fund sponsors. His clients include sponsors of private equity, real estate, venture capital and credit funds, funds of funds, SBICs, as well as institutional investors, development finance institutions and multilateral banks. Pablo focuses a significant portion of his attention to providing his clients with regulatory guidance regarding the U.S. Securities Act of 1933, the Investment Company Act of 1940, the Investment Advisers Act of 1940 and the Small Business Investment Act of 1958. 

While in law school, Pablo served as the Senior Articles Editor for the Georgetown Journal of International Law and was deeply involved in community service. He fulfilled his law school's pro bono pledge, and is the proud recipient of Georgetown Law's highest pro bono recognition level. To this day, he maintains a robust pro bono practice focused on asylum-based immigration and social entrepreneurship.

Representative experience

Represented a private investment firm in connection with the structuring and organizing of a Qualified Opportunity Fund.

Advised an investment management firm in a joint venture with a large real estate developer for the acquisition and development of real estate.

Advised a private investment firm on the formation of its sixth credit fund focusing on life sciences and technology companies.

Advised a D.C.-based biotech social enterprise on organizational and corporate governance matters.

Advised a sponsor on the formation of a social impact investment fund to support the creation and preservation of workforce housing in the Washington, D.C. area.

Represented a global asset manager in connection with the negotiation and investment of over US$400m in U.S.-based private equity funds.

Advised an investment management firm as buyer of a portfolio of investment fund interests in secondary transactions. 

Advised the sponsors of a joint venture in the formation of a private investment fund focused on Latin America growth sector companies.

Advised a private investment fund on its tax-driven internal restructuring.
