Sebastian Biller advises investment banks and international groups of companies on capital markets law as well as stock corporation, takeover and transformation law. He has a particular focus on Public M&A transactions (including taking-private transactions), equity capital markets transactions (equity capital raisings for listed companies) and corporate structural measures such as squeeze outs, domination and profit and loss transfer agreements, (cross border) mergers, spin-offs and transformations.
In addition to his experience in international M&A and equity capital markets transactions, Sebastian advices his clients on all aspects of stock corporation and capital markets law including the preparation of business judgement rule opinions and compliance with the Market Abuse Regulation (e.g. insider rules, ad hoc announcements and manager's transactions) or the German Securities Trading Act (e.g. voting rights notifications and financial reporting obligations), where he also has broad experience in adminstrative (fine) proceedings with BaFin.
Before joining Hogan Lovells in June 2022 he practiced at another international law firm in Frankfurt.
Sebastian speaks German and English fluently.
