Ana Laura Pongeluppi is a Visiting International Lawyer in our Corporate & Finance practice group. She focuses her work on cross-border capital markets transactions, mergers and acquisitions, and other corporate transactional matters, with a strong emphasis on Latin America.

Ana Laura advises issuers, underwriters, and financial institutions on a broad range of capital markets transactions, including initial public offerings, follow-on offerings, 144A/Reg S offerings, debt programs, and sovereign issuances. She also has experience supporting clients in complex M&A transactions, including public and private deals, many involving multijurisdictional regulatory compliance and post-closing integration.

Ana Laura holds law degrees from both Brazil and the United States. She began her legal career in Brazil and spent over five years as an associate in Hogan Lovells’ São Paulo office, where she worked on transactions involving more than 40 jurisdictions. She regularly counseled clients on corporate governance, regulatory strategy, and international structuring.

Issuers and underwriters in more than 20 U.S. SEC-registered and Rule 144A/Reg S IPOs and follow-on equity offerings.

Brazilian financial institutions and companies on their debt capital markets transactions, including setting up MTN programs and takedowns and tender offers. 

Financial institutions in ISDA negotiations, accelerated share repurchase programs and other issuer equity derivative matters. 

Dealer manager for the Government of Sri Lanka’s US$12.5 billion sovereign debt exchange.

Comprehensive debt restructuring by Azul Brazilian Airlines. 

Equifax Inc. in its acquisition of Boa Vista Serviços, one of Brazil’s leading credit bureaus, at an enterprise value of US$583m, and its SEC-registered IPO of Brazilian subsidiary shares.

Talanx AG on the pending US$1.5bn acquisition of Liberty Mutual’s personal and small commercial insurance businesses in Brazil, Chile, Colombia, and Ecuador.
