Hogan Lovells advises BASF on the formation of a joint venture for digital technologies in agriculture

Led by Dusseldorf partner Jens Uhlendorf, international law firm Hogan Lovells advised BASF Digital Farming on the formation of a joint venture with Bosch for the worldwide marketing and sale of digital technologies in agriculture.

With xarvio™ Digital Farming Solutions, BASF Digital Farming offers real-time, automated, field zone-specific, agronomic decision support for weed management. Bosch brings significant expertise in hardware, software and digital services to the joint venture. By combining the expertise and technologies of both companies, farmers will benefit more easily and conveniently from digital solutions in the future. 

The new company shall be incorporated in the first quarter of 2021 and be based in Cologne. The incorporation is subject to the approval of the responsible antitrust authorities.

Hogan Lovells advised BASF Digital Farming on the drafting and negotiation of the joint venture agreement, the corporate documentation relating to the joint venture and the complex hardware and software supply and other ancillary agreements.
