Stephen focuses his practice on corporate and regulatory matters within the insurance industry, with particular experience advising on insurance industry transactions and regulatory compliance. His work spans mergers and acquisitions, divestitures, reinsurance arrangements, insurance holding company act matters, corporate governance, and a range of state and federal regulatory requirements affecting insurers and insurance groups, including examinations, licensing, and filing obligations.

Stephen brings more than 20 years of in-house experience in the insurance industry to his practice. Prior to joining Hogan Lovells, he spent over two decades at a publicly traded insurance group, where he served as in-house counsel, including 10 years as Lead In-House Counsel. He graduated from Widener University School of Law and holds a B.A., with a minor in German, from Villanova University.

Representative experience

*Lead In-house counsel for a US$370m attempted insurance company divestiture, overseeing due diligence and drafting all critical legal documents.

*Lead in-house counsel for a landmark Bermuda–U.S. reinsurance merger— securing regulatory approval, returning US$250m tax-free to investors and eliminating $1.17bn in debt. 

*Lead in-house counsel for redemosticaton transactions from Ireland to the Cayman Islands and from the Cayman Islands to the United States.

*Supported the acquisition of a US$394m insurance company, securing intricate regulatory approvals.

*Lead in-house counsel for an internal restructing that required numerous regulatory approvals, 22 separate transactions and countless agreements across multiple countries.

*Lead in-house counsel on divestitures of US$130m of insurance company assets, including securing regulatory approvals and drafting key deal documents

*Matter handled prior to joining Hogan Lovells.
