Supported by Naxicap Partners, ITAL Express operates as an international platform for the automotive spare parts market, specialising in the distribution of spare parts and accessories. The acquisition marks another step towards building a leading pan-European aftermarket platform and creates additional synergies within the group, particularly in procurement, logistics, and distribution. For Diederichs, the partnership provides access to an international platform supporting further growth, the development of its product portfolio, and expansion into new customer segments.
Hogan Lovells advised in particular on the share purchase, the tax aspects of the transaction, the acquisition financing and the merger control filing. The team led by partner Dr. Christoph Naumann regularly acts as legal counsel to funds managed by Naxicap Partners and their portfolio companies. On the French side, the cross-border transaction was coordinated by a team of the Paris-based law firm Edge Avocats, led by Matthieu Lochardet.
