Global law firm Hogan Lovells has advised Toscana Aeroporti S.p.A. (Toscana Aeroporti) and Jet Fuel Co. S.r.l. (Jet Fuel) on the execution of an investment agreement with Air BP Italia S.p.A. (Air BP) and Carboil S.r.l. (Carboil), aimed at the industrial rationalisation and integration of fuel storage activities at the Pisa and Florence airports.
The transaction provides, among other things, for: (i) the acquisition by Toscana Aeroporti of the 49% stake in Jet Fuel held by Air BP and Carboil; (ii) the contribution by Toscana Aeroporti of the Pisa fuel storage facility into Jet Fuel; (iii) the contribution by Air BP and Carboil of their Florence fuel storage facilities into a newly incorporated company (NewCo); and (iv) the subsequent merger of NewCo into Jet Fuel, which will become the single operator of fuel storage facilities at both airports.
Hogan Lovells acted as legal adviser to Toscana Aeroporti and Jet Fuel on the corporate, M&A and finance legal aspects of the transaction.
