Michele S. Harrington
Meeting the antitrust challenges in today's competitive landscape means facing a complex framework of antitrust and competition laws in multiple jurisdictions.
For more than 28 years, Michele Harrington has helped clients navigate a range of antitrust issues in connection with mergers, acquisitions, licensing agreements, and joint ventures, including "bet the company" transactions. Michele provides advice on contract terms, due diligence and integration planning, antitrust risk assessment, and strategies to respond effectively to government investigations.
Michele has supervised the filing of hundreds of Hart-Scott-Rodino (HSR) forms, helping companies obtain the antitrust regulatory clearances they need to close on transactions. In addition, Michele steers companies through the antitrust approval process and responds effectively to government investigations. For example, she represented ITA Software Inc., in connection with the U.S. Department of Justice's (DOJ's) investigation of the Google-ITA transaction, which was awarded "Merger Control Matter of the Year - Americas (2012)" by Global Competition Review.
Michele was the co-editor of The American Bar Association Section of Antitrust Law's most recent edition of Premerger Notification Practice Manual, a popular primary research tool used by HSR practitioners throughout the United States.
