Drawing on experience in both civil and common law systems, Mariana Amaral helps clients execute complex domestic and international energy and infrastructure transactions. She advises investors, developers, and financial institutions on matters that call for clarity, efficiency, and sound commercial judgment.

Mariana focuses her practice on mergers and acquisitions, project development, and financing for renewable and conventional energy assets. She represents private equity sponsors, multinational corporations, utilities, and development finance institutions in significant transactions, including portfolio acquisitions and divestitures, power plant transactions, and the negotiation of power purchase agreements and other core commercial agreements. Her experience spans the United States, Latin America, the Caribbean, and Europe.

Mariana began her career in the firm’s Rio de Janeiro office, where she worked on international transactions and investigations across a range of industries. Fluent in English, Portuguese, and Spanish, and qualified in both Brazil and Washington, D.C., she brings a practical perspective to cross‑border and cross‑cultural matters. Before practicing law, Mariana worked as a television journalist, an experience that continues to shape her clear, precise, and thoughtful approach to client service.

The Government of The Bahamas in over a dozen power purchase agreements for microgrid projects located on New Providence and the Family Islands.

Helion Energy on the world’s first fusion energy power purchase agreement to supply electricity to Microsoft from a commercial fusion power plant

Mercedes Benz Group AG in the formation of a joint venture with MN8 Energy to develop, own and operate a Mercedes-Benz branded network of 2,500+ high-powered EV chargers across the U.S. and Canada.
 

Advised NextEra Energy Partners, LP on the US$1.815bn sale of its Texas natural gas pipeline portfolio to Kinder Morgan.

Advised a global renewable energy company on its US$1.135bn acquisition of 42 operating renewable energy projects in the United States.

Advised Harbert Power, UBS, and Northwestern Mutual Life Insurance Company as co-investors in connection with the acquisition and financing of 13 operating natural gas power plants.
 

Advised a private equity fund on the acquisition of a 309 MW power facility and a 50 percent interest in a 585 MW power facility in Georgia.

Advised an international distributor and marketer of energy products and services in the US$190m acquisition of pipeline and compression assets in the Appalachian Basin.

Advised a space infrastructure company on its acquisition of a spacecraft development business supporting national security missions in geostationary orbit.

Advised a technology company on its acquisition of a regulatory compliance software and services provider serving nuclear, energy, and regulated utilities.

Advised a renewable energy developer on a strategic investment by a U.S. asset manager to support the growth of its distributed solar development and operating platform.

Advised global entertainment companies on the acquisition of a minority interest in a holding company owning a globally recognized media franchise.

Advised a private equity firm on the acquisition of a majority interest in a leading U.S. consumer packaged foods company.

Advised an international developer on the negotiation of EPC agreements for 18 solar projects and O&M agreements for 10 projects in Chile.

Advised DFC in a US$300m debt facility to BTG Pactual, a Brazilian financial services company and the largest investment bank in Latin America.

Advised DFC in a US$100m financing to fund telecommunication infrastructure investments in Uganda, Democratic Republic of Congo, the Gambia and Sierra Leone.

Advised development finance institutions on US$150m in financings for a Colombian bank supporting affordable housing, women‑owned businesses, and sustainable agribusiness.
 

Advised IDB and IDB Invest on a secured loan facility of up to US$285.5m for Ecuadorian consumer company Corporación Favorita C.A.

Advised DFC on a US$100m loan to Turkey’s Sekerbank to support earthquake recovery, women‑owned businesses, and small and medium‑sized enterprises.

Advised a development finance institution on a US$27.5m loan to a Brazilian agribusiness and biomass producer.

Advised a development finance institution on renewing and upsizing a loan to an investment fund, increasing the credit line from US$50m to US$70m and amending terms.
