Eve Howard's practice involves a broad range of corporate and securities matters and is primarily transactional in scope.
Eve regularly advises clients in public and private securities offerings, strategic investments, joint ventures, tender offers, exchange offers, mergers, asset acquisitions and dispositions, stock purchases, consent solicitations, and commercial lending transactions. Her securities practice includes representing both issuers and a number of leading national investment banking firms in connection with offerings of both debt and equity securities. In particular, Eve has extensive experience in the structuring and negotiation of various types of debt securities, including high yield, investment grade, and convertible debt securities in both public and private offerings, across various industries. She also routinely provides advice to clients on general corporate and governance matters. Eve's practice includes a wide variety of clients in different industries, with recent emphasis in the areas of real estate, telecommunications, technology, and gaming.
REPRESENTATIVE EXPERIENCE
- Representation of various NYSE-listed REIT and other corporate issuers in connection with their IPOs and multiple follow on offerings of equity and debt securities.
- Representation of numerous underwriters in connection with IPOs and follow on offerings for multiple REIT and non-REIT issuers.
- Negotiation and structuring of multiple registered and unregistered debt issuances on behalf of issuers and underwriters, including high yield debt, convertible/exchangeable debt, investment grade and sovereign debt.
- Representation of corporations in connection with structuring complex reorganization and roll up transactions, and negotiating lender and third party partner consents and contribution agreements.
- Representation of public registrants in securities law compliance, corporate governance and general business matters.
