Roy Zou has worked actively on many client matters, including merger and acquisition transactions, the creation of joint ventures, market entry, and international trade. Roy has extensive experience in directing legal and financial due diligence reviews of Chinese companies for multinational corporations and investors. He deals regularly with approval authorities and other government regulators and agencies in connection with commercial transactions. Roy also assisted in a number of U.S. litigations involving Chinese companies or governments agencies as respondents or defendants.
Roy previously worked at the Ministry of Foreign Affairs of the People's Republic of China for seven years. Serving in the General Office and the Department of Treaty and Law, he was involved in the documentation and negotiation of many important bilateral and multilateral issues. Roy's diplomatic career included assignments in overseas Chinese missions.
Representing an international investment fund in structuring a direct investment of approximately US$60 million in a five-star hotel project in Shanghai Municipality, China.
Representing an international investment fund in its over US$145 million acquisition of a high-rise, mixed-use retail and office development project in China.
Representing a U.S. based publicly-traded company in its multi-million acquisition and capital restructuring.
Representing a Chinese insurance company in providing insurance and guarantee in multibillion international debts issuance and international syndicated loan transaction.
Representing a multinational paper company in the acquisition of assets in China from another multinational.
Representing a U.S.-based cosmetics company operating in China, from its startup through a sale of a strategic stake and its subsequent acquisitions.
Representing a major Chinese petroleum and petrochemical corporation and its subsidiary in establishing a joint venture with a leading global energy company to develop and operate an ethylene and chemical derivatives facility in China.
Representing a multinational chemical products company in its global acquisition, including counseling on acquisition of equity and assets of relevant Chinese companies, as well as anti-monopoly notification requirement.
Representing a multinational company in acquiring a majority interest in 43 industrial gas and chemical facilities, including divestments and reorganizations, in many cities and provinces throughout China.
Representing a premier advanced materials producer in a wide range of mergers and acquisitions, direct investment, and divestiture transactions in China over the last 10 years. Representing a major Chinese engineering, procurement, and construction contractor and a Chinese export credit agency in the US$600 million financing and construction of 2X15MW and 2X10MW power plants in Indonesia.
Representing a major Chinese engineering, procurement, and construction contractor and a Chinese export credit agency in the US$250 million procurement of multiple-fuel power generating facilities for several major paper and pulp manufacturers in Indonesia.
Representing the leading Chinese oil company in bond financing of US$1.4 billion for acquisition of the majority of shares in a Kazakh oil company.
