Michele Harrington's vast knowledge and experience applying the requirements of the Hart-Scott-Rodino (HSR) Act to acquisitions is well-known and recognized among her peers and others.
Michele was the co-editor of the American Bar Association Section of Antitrust Law's most recent edition of the Premerger Notification Practice Manual, which is a popular primary research tool used by HSR practitioners throughout the United States. Michele has supervised the filing of hundreds of HSR forms, helping companies obtain the antitrust regulatory clearances they need to close on transactions. She routinely steers companies through the antitrust approval process and responds effectively to government investigations. For example, her representation of ITA Software Inc., in connection with the U.S. Department of Justice's (DOJ's) investigation of the Google-ITA transaction, was awarded "Merger Control Matter of the Year - Americas (2012)" by Global Competition Review.
For more than 29 years, Michele has helped clients navigate a range of antitrust issues in connection with mergers, acquisitions, licensing agreements, and joint ventures, including "bet the company" transactions. Michele provides antitrust advice on contract terms, due diligence and integration planning, regulatory risk assessment, and strategies to respond effectively to government investigations.
