Kiran Khetia is a senior counsel in our Executive Compensation, Employee Benefits and Share Incentives team, focusing on global executive and all-employee share plans.

Kiran has a wealth of experience in all aspects of employee share incentives and advises on the design, structure, establishment and operation employee share plans, employee benefit trusts, LTIPs and restricted stock plans, both in the UK and globally. Kiran's experience spans a wide range of industry sectors.

Kiran is highly regarded for her friendly approachable style and technical knowledge. She is an active member of the Share Plan Lawyers Group and other technical groups including ifsProshare and the Global Equity Organisation. Kiran is a co-author of the chapter on Employee Share Option and Share Incentive Plans in Tolleys Tax Planning with Louise Whitewright.

Representative experience

Advising UK listed companies and other international and private companies on the structure, implementation and operation of their employee share incentive plans, including long-term incentive plans, option plans and HMRC tax advantaged plans.

Advising UK and international listed companies and private companies on the structure, implementation and operation of their employee share incentive plans.

In preparation for a flotation, advising on structure and the implementation of the new incentive plans, including whether or not the company might want to be able to operate HMRC compliant plans and what structures might be available.

Advising on the extension of employee share plans internationally including annual reviews, drafting jurisdiction specific plans and international compliance issues.

Advising on special awards for new directors and retention awards for a number of listed companies and disclosure of director's remuneration for Companies Act and Listing Rules purposes.

Advising on the implementation of new plans and arrangements and advising on effect on existing plans and arrangements in connection with corporate transactions.
