Juan Pablo Vargas advises companies and individuals in a wide array of corporate matters, including cross-border and domestic M&A, joint ventures, and financing transactions.

Juan Pablo takes a pragmatic approach in helping clients navigate complex business decisions. He advises on the structuring of investments, acquisitions and sales of equity and assets, shareholders' agreements and option agreements, and corporate restructurings. He also advises on trusts, pledges, notes, and security/collateral packages. He is involved in all activities connected to business organizations, from their incorporation to their merger, dissolution, and liquidation.

Juan Pablo also has significant experience as lead in-house counsel, holding such positions in a variety of secondment opportunities with clients whose business operations have both domestic and global presence.

Juan Pablo obtained his law degree from Universidad Iberoamericana in Mexico City in 2014. In addition, he obtained a specialization diploma in Corporate Mergers, Acquisitions, and Spin Offs from Instituto Tecnológico Autónomo de México (ITAM) in 2017.

Representative experience

Advised Owens-Illinois in the acquisition of the food & beverage division of Vitro for approximately US$2.15bn.

Advised PVH Inc. on its US$200m joint venture with Grupo Axo for the distribution of the Tommy Hilfiger and Calvin Klein brands in Mexico.

Advised Sealed Air Corporation in the sale of the Diversey Care division and the food hygiene and cleaning business within its Food Care division to Bain Capital for approximately US$3.2bn.

Represented Mexican subsidiaries/guarantors of Smurfit Kappa Group plc in its issuance of €500m worth of bonds.

Implementing, developing, and adapting business models of Mexican and foreign startup companies to the local legal framework, most recently with Fintech clients.
