Using his deep and broad experience as a guide, Scott McClure helps clients negotiate the seemingly impenetrable U.S. federal tax laws to arrive at workable solutions.

Scott has spent most of his nearly 25 years in practice helping to structure complex business transactions in the most tax-efficient way. He understands that the tax code does not provide a "one size fits all" solution to every taxpayer's issue, and routinely works with a wide variety of clients, whether it is large public companies, family-owned S corporations, or private equity funds to find the best way forward for their unique situation. Scott has applied this approach to numerous cross-border and domestic mergers and acquisitions, dispositions, spin-offs, restructurings, joint ventures, equity offerings, and recapitalizations across numerous industries and sectors, including finance and banking, healthcare and health insurance, education, and high tech. Scott has also worked with various taxing authorities to resolve clients' tax issues and to obtain advance rulings on clients' pending transactions.

Counseled client United Health Group on the tax aspects of the combination of its Optum business with MedExpress.

Advised client UnitedHealth Group on the tax issues involved in the acquisition by its Optum business of Alere Health and its subsidiaries.

Worked with client Western Alliance Bancorp on its US$ 450M acquisition of Bridge Capital Holdings for stock and cash.

Assisted client Ciena Corporation in its acquisition of Cyan Inc. for stock and cash.

Advised client S2 Corporation on the tax aspects of its acquisition by ACI Worldwide, Inc. for approximately US$360m in cash and US$5.8m.

Counseled the Board of Directors of the Cornell Companies on Cornell's acquisition by The GEO Group for stock and cash having an estimated enter.

Worked with client Western Alliance Bancorp on its US$450m acquisition of Bridge Capital Holdings for stock and cash.
