Will (Wanglin) Rao advises domestic and international clients on debt and equity capital-raising transactions and general corporate and securities matters, including corporate governance, mergers and acquisitions, stock exchange listings, and federal and state securities law compliance.
Will represents both issuers and underwriters in a range of public and private securities transactions, from inception to closing, including initial public offerings (IPOs), primary and secondary offerings, private placements, and debt financings.
In addition to his transactional work, Will counsels public company clients on ‘33 Act compliance and ongoing ‘34 Act reporting obligations as well as relevant stock exchange rules and standards and other public company compliance matters. He regularly prepares and reviews disclosure documents for filing with the Securities and Exchange Commission, including Forms S-1, F-1, S-3, F-3, S-4, F-4, 10-K,10-Q, and 8-K.
