SEC Adopts Rule to Implement Dodd-Frank CEO Pay Ratio Disclosure Requirement

On August 5, 2015, nearly two years after the Securities and Exchange Commission (SEC or Commission) issued its rule proposal, a divided Commission amended Item 402 of the SEC's Regulation S-K to require most companies subject to public reporting obligations to disclose annually the ratio of the annual total compensation of their chief executive officer (CEO) to the median of the annual total compensation of their employees other than the CEO.
