Stephen, who is based in Hong Kong, heads our U.S. securities practice in Asia-Pacific. Widely recognized as one of the region's most experienced corporate finance lawyers, Stephen advises on a variety of sophisticated and complex cross-border transactions, including international securities offerings and pre-IPO financings, as well as going private transactions.  He also regularly represents companies in developing and implementing corporate governance and compliance programs.

With a focus across Asia Pacific, Stephen has assisted companies and financial advisors in Australia, India, South East Asia, and Greater China to raise capital.

Stephen led the first Rule 144A high yield debt offering from India, and has also advised on several multi-billion dollar IPOs on the Hong Kong Stock Exchange. In the private M&A space, he helped Larsen & Toubro buy a significant division from Dell.

Stephen has also advised many companies on their successful IPOs on the Hong Kong Stock Exchange, as international trade sanctions counsel. He assisted them in analyzing their international operations to identify potential areas of risk from a perspective of economic sanctions and export controls.

Stephen began his legal career at the U.S. Securities and Exchange Commission (SEC)'s Division of Corporation Finance, where he was responsible for identifying issues in public companies' Securities Act and Exchange Act registration statements and other SEC filings. After the SEC, he began private practice as a securities lawyer in New York. He also worked in London, San Francisco and Singapore before relocating to Hong Kong.

Stephen is recognized as a leading lawyer in capital markets by virtually all legal directories, including Chambers Asia Pacific for China, Hong Kong and India.

Representing Spring REIT in its Hong Kong initial public offering, led by Credit Suisse.

Assisting a Chinese telecommunications company with issues arising from settlement agreement and monitorship with the U.S. Government.

Representing Linc Energy on its US$200m convertible bond offering led by Credit Suisse, and on its subsequent US$125m senior secured high yield bond offering.

Advising JPMorgan, UBS and China International Capital Corporation (CICC), as underwriters in the US$2.6 IPO on the Hong Kong Stock Exchange by China Merchants Bank.*

Advising Morgan Stanley, UBS and CICC, as lead underwriters in the US$1.6bn IPO and listing on the Hong Kong Stock Exchange of Fosun International.*

Advising Credit Suisse, as lead underwriter in connection with the US$10.8bn global offering of shares and ADSs of Telstra Corporation.*

Advising Actions Semiconductor Co., Ltd in two SEC-registered public offerings, 1) US$74m IPO and listing on the NASDAQ, and 2) US$83m follow-on public offering.

Advising Larsen & Toubro Limited, one of India's largest multinational conglomerates, in the purchase of a significant division of Dell Corporation.*

Advising SK Telecom, and its subsidiary SK Networks, in the highly negotiated sale of a US$200m block of shares in NASDAQ-listed SK Telecom.*

Advising Citigroup and Digitel Telecommunications Phils., Inc. in the Philippine IPO and concurrent international offering under Regulation S and Rule 144A.*

Acting for the underwriters and global coordinators, Citibank, UBS, ICICI, Kotak Mahindra and SBI Capital on the US$1.1bn offering by Power Grid Corporation of India.

Providing CFIUS advice to a Hong Kong-based private equity company in connection with its investment into a U.S. company.  

Advising the issuer, Power Finance Corporation Ltd. and the Government of India, on a follow-on public offering in India for US$790m.

Advising the Government of India on a follow-on public offering by divestment of the Oil and Natural Gas Corporation Ltd for US$1bn.*

Advising the Government of India and Coal India Limited, the world’s largest coal miner, on the company’s US$3.43bn IPO.*

Advising the underwriters (Citigroup, Bank of America Merrill Lynch and IDFC) on the equity offering by Shriram Transport Finance Company of US$125m.

Advising JPMorgan and Benpres Holdings Corporation in the Regulation S/Rule 144A offering of US$150m of Convertible Guaranteed Notes of Benpres Holding Corporation.

Advising the underwriter, Credit Suisse in Otto Marine Ltd.'s US$100m IPO and listing on the Singapore Stock Exchange.

Advising HSBC and DBS in connection with the establishment of a medium-term note program for Indus Gas Limited, listed on the Singapore Stock Exchange.*

Acting for more than 35 companies as their international trade sanctions counsel in relation to proposed IPOs on the Hong Kong Stock Exchange. Assessed the applicability of U.S., E.U., U.N., and Australian economic sanctions and export controls to their business to respond to Hong Kong regulators’ questions and prospectus comments regarding these laws. Advised them in analyzing potential areas of risk from a perspective of economic sanctions and export controls.
