Hogan Lovells advises Hauck & Aufhäuser Privatbankiers AG and ABN AMRO Bank N.V on the IPO of hGears AG

Led by its Frankfurt partner Prof. Dr. Michael Schlitt, international law firm Hogan Lovells has advised Hauck & Aufhäuser Privatbankiers AG and ABN AMRO Bank N.V. on the IPO of hGears AG. Hauck & Aufhäuser Privatbankiers AG acted as Sole Global Coordinator and Joint Bookrunner. ABN AMRO Bank N.V. acted as Joint Bookrunner in the IPO.

 

The offering comprised a total of 6,670,000 shares, of which 2,400,000 were new shares from the company's capital increase and 3,400,000 were shares from the holdings of existing shareholders. A further 870,000 shares from a securities loan ("Greenshoe Shares") were allotted to investors under an over-allotment option. 

The shares were offered during an offering period from 10 May 2021 to 18 May 2021 to institutional and retail investors in a public offering in Germany. The final issue price was set at EUR 26.00. The total offering volume is approximately EUR 173 million, which on the basis of the issue price corresponds to a total market capitalization of hGears AG of EUR 270 million. 

The shares of hGears AG have been admitted to trading on the regulated market (Prime Standard) of the Frankfurt Stock Exchange since 21 May 2021. The prospectus relating to the public offer and the admission to trading of shares of hGears AG was approved by the Federal Financial Supervisory Authority (BaFin) on 7 May 2021.

hGears is a global manufacturer of mission-critical high-precision gears and components with a focus on products for e-mobility applications.
