Hogan Lovells advises FlixMobility on conversion of its legal form into an SE

Led by Munich partner Peter Huber, international law firm Hogan Lovells has advised the global mobility provider FlixMobility on the conversion of its legal form into an SE (Societas Europaea – European Stock Corporation) and the further development of its management structure. 

With its new legal form, FlixMobility underlines its European and international focus. At the same time, more than ten years after its foundation, the mobility provider is also reorganizing its management structures. The new three-member board will consist of the co-founders André Schwämmlein (CEO) and Daniel Krauss (CIO) as well as Christoph Debus, who will become the company's new CFO at the beginning of March 2022. The previous co-CEO and co-founder Jochen Engert will join the supervisory board as of 1 April 2022. 

Hogan Lovells has advised FlixMobility on all legal aspects of the transactions. Previously, FlixMobility was organized as a limited liability company which precludes an immediate change of legal form into an SE. The company must therefore first become a German stock corporation to then be able to adopt the legal form of an SE. The two conversions will take place immediately one after the other. The re-organization of the management structure was the final step to set up FlixMobility to achieve its future goals.

The Munich tech M&A team of partner Peter Huber has been advising FlixMobility on all corporate law matters for years. Negotiations of the future employee participation with the special negotiating body, which consisted of representatives of FlixMobility's EU employees, have been handled by the Dusseldorf employment law team led by Dr Tim Joppich who involved colleagues from other Hogan Lovells EU offices as needed.

FlixMobility was founded as a start-up in Munich in 2012 and is now one of the German unicorns with a valuation of approx. EUR 3 billion. With its re-organization, the company is repositioning itself for its ambitious goals of offering sustainable and affordable mobility worldwide.
