Hogan Lovells Advises on Internet Media Merger between Mamut and Potanin

Hogan Lovells team has advised the investment company of a prominent Russian businessman, Alexander Mamut, on a media assets merger with another Russian tycoon, Vladimir Potanin. The transaction closed on 17 May 2013.

The assets of two major Russian Internet media groups, SUP Media and Afisha-Rambler, will be combined in a merger of equals and it is expected that the new company will have the third-largest audience on the Russian Internet. SUP Media owns LiveJournal.com, a social media platform with user-generated content, and online newspaper Gazeta.ru and Championat.com. The Afisha-Rambler group controls a number of online media outlets, including Afisha.ru, online newspaper Lenta.ru, Motor.ru, and a search engine Rambler.ru. Alexander Mamut will hold operational control over the united company, while Vladimir Potanin will have an option to exit the business in three years' time.

The team advising on the merger was led by Oxana Balayan, managing partner and head of corporate practice at Hogan Lovells (CIS), and senior associate Leonid Ervits supported by associate Evgenia Gaysinskaya. Senior associate Eugene Suslov and associate Vitaly Chernoukhov assisted with the antimonopoly issues.
