Hogan Lovells Advises Knology, Inc. on Its $1.5 Billion Acquisition by WOW!

WASHINGTON, D.C., 19 April 2012 – Hogan Lovells announced today that it has been advising the Transaction Committee of the Board of Directors of Knology, Inc. on the definitive merger agreement under which a subsidiary of WOW! Internet, Cable & Phone (WOW!) has agreed to acquire Knology in an all-cash transaction valued at approximately $1.5 billion. Knology is a leading provider of interactive communications and entertainment services in ten markets in the southeastern United States and three markets in the midwestern United States. WOW! is a competitive provider of residential and commercial high-speed Internet, cable television, and telephone services.

The transaction was announced on 18 April 2012. Under the terms of the agreement, WOW! will acquire all of the outstanding shares of Knology for $19.75 per share in cash.
