30 October 2019 – A global M&A team from Hogan Lovells has advised client Endemol Shine Group on its sale by private equity firm Apollo Global Management and The Walt Disney Company to Banijay Group, the French TV production group (which is partially owned by Vivendi).

Endemol Shine is the production and distribution company of popular formats including Big Brother, Peaky Blinders, MasterChef and Black Mirror.

The transaction, which is subject to regulatory clearances and other customary conditions, will create the world’s largest independent production group outside of the US studios.

The Hogan Lovells team was led by Netherlands based M&A partner, Victor de Vlaam, and involved the firm's teams in Europe, USA, UK, Russia, Australia, Brazil, China, Singapore and Hong Kong.

Commenting on the deal, Victor de Vlaam said: "We are very pleased to have assisted Endemol Shine on this significant M&A transaction in the Dutch market, creating a global content house with a pro-forma combined revenue of c. €3 billion per year end. Our M&A lawyers advise on acquisitions and dispositions in the Media and Entertainment sector, advising global media group, production and distribution firms and studios, digital companies and TV broadcasters. This transaction reflects the strengths of the Hogan Lovells M&A Practice, and the firm's leading corporate finance, regulatory and technology practices. In the Dutch Media and Entertainment space, the Hogan Lovells Amsterdam M&A team earlier advised Liberty Global on the sale of the international content division Chellomedia to AMC Networks (USD 1 billion)."
