Hogan Lovells Advises Berenberg Bank and Kempen & Co on €73.9 Million Capital Increase of HAMBORNER REIT AG

FRANKFURT, 20 July 2012 - Hogan Lovells advised the syndicate of banks comprising Joh. Berenberg Gossler & Co. KG and Kempen & Co N.V. on the capital increase of HAMBORNER REIT AG. HAMBORNER REIT AG increased its capital by €11,373,333 by way of share capital increase with subscription rights for the existing shareholders. The new shares were offered to the shareholders during the subscription period of 3 July 2012 to 16 July 2012. Shares not subscribed during the subscription period were offered by way of a private placement to qualified investors within and outside of Germany.

The transaction provided HAMBORNER REIT AG with gross issue proceeds of around €73.9 million, which are expected to finance the further growth of HAMBORNER REIT AG, in particular to finance the acquisition of additional properties in accordance with the investment strategy as well as to provide strategic flexibility with respect to future acquisitions. The new shares have been admitted to trading on the regulated market of the stock exchanges Frankfurt am Main (Prime Standard), Berlin, Düsseldorf, Hamburg and Stuttgart.
