Magdalena Kowara combines guiding clients through Polish and EU competition & State Aid law, consumer law, and advising in the energy industry sector.

Her professional experience covers advising clients in proceedings carried out by the the Office of Competition and Consumer Protection, and the European Commission both in regard to merger control and antitrust issues; and proceedings concerning infringements of the collective interests of consumers, as well as in any subsequent court proceedings. She also advises on the antitrust and State Aid aspects of M&A transactions, and on project compliance with EU State Aid law.

Magdalena assists clients in dawn raids conducted by the competition authority, as well as provides dawn raid trainings. She also advices on commercial agreements, distribution systems, pricing policies, and on the companies' day-to-day business.

Magdalena has also extensive expertise in the oil and gas, and energy sectors (including renewable energy). She represents clients in the proceedings before the Energy Regulation Office; advises on the commercial and regulatory aspects of their business activity including commercial agreements, distribution systems, and rebate schemes. Magdalena has also successfully taken part in energy sector-related transactions and due diligence of RES projects in Poland.

Representing a wind towers’ manufacturer, an investment fund, and a mining / steel company in merger proceedings concerning a joint venture manufacturing wind towers.

Representing international clients in merger control proceedings concerning a joint venture active in the production of electricity and heat.

Advising on State Aid issues concerning the sale of Gdansk Shipyard, and GSG Towers, a wind turbine towers’ manufacturer, to Polish Industrial Development Agency.

Advising on the regulatory aspects of the transactions involving wind farm projects in Poland.

Advising on the distribution system, pricing policy, and commercial contracts of a leading fuel company in Poland.
