Rachel Kelly

Rachel Kelly focuses on corporate and commercial law, including mergers and acquisitions, the negotiation and preparation of a wide range of commercial agreements, due diligence investigations and reports, providing legal opinions, advising on and assisting clients with B-BBEE compliance and transactions, and corporate structures (including trusts). 

She acts as lead attorney for many local and international companies in transactions involving acquisitions or disposals and corporate restructures. 

In addition, Rachel assists international clients to set up businesses in South Africa. This includes advice on financing, exchange control and regulatory approvals.

Her clients include multinationals in retail, IT, insurance, banking, mining, and the pharmaceutical industry.

Representative experience

Advised the Hollard Group in respect of its acquisition of the Regent Insurance Group.

Lead professional to South32 in respect of its disposal of its Bayside casthouse operations.

Assisted Nando’s in respect of its acquisition of the business of McCormick Condiments.

Advised Lapalala Wilderness in respect of the establishment of the Lapalala Game Reserve.

Assisted Capricorn Fund Managers and its shareholders in respect of the Anchor Group’s acquisition of a stake in CFM.

Advised Hollard in respect of the formation of MotoVantage, its joint venture with FirstRand Bank.

Assisted Safair with a corporate restructure and assisted with the obtaining of its domestic passenger licence.
