Numerous public and private companies and their boards have benefited from Jon's substantial knowledge and insights on corporate and corporate governance matters, especially corporate finance and capital-raising transactions. He's experienced with equity, debt, and equity-linked transactions, such as public offerings, 144A transactions, private placements, and Private Investment in Public Equities (PIPEs).

Jon also regularly advises on general corporate and securities law matters, and he regularly advises public companies on '34 Act reporting and disclosure requirements, annual meeting and proxy-related matters, compliance with the Sarbanes-Oxley Act and Dodd-Frank Act, and the rules and regulations of the U.S. Securities and Exchange Commission, New York Stock Exchange, and NASDAQ Stock Exchange.

Jon also advises clients on U.S. and cross-border mergers and acquisitions and private equity transactions, as well as on a variety of other corporate matters, including joint ventures, strategic investments, spin-offs, and recapitalizations.

Jon also represents venture capital and private equity funds as well as strategic and corporate investors on debt and equity financing transactions as well as liquidity events and exits.

In addition, Jon represents entrepreneurs and private companies on financing matters, company formation, start-up activities, and more.
