Catherine Hayward-Hughes

As an Associate in our Financial Institutions Group, Catherine's experience is focused on commercial, transactional and regulatory advice for retail and commercial banking, payments and consumer finance clients.

Catherine leverages her experience from her 6 month secondment to a major retail bank to provide a practical and commercial perspective to a wide variety of clients including banks, retailers, mortgage lenders and payment service providers on regulation applicable to their products, advertising and marketing, business development and operations and commercial contracts.

Catherine has encountered a broad range of issues arising under sector specific regulation including MCOB, CONC, the Consumer Credit Act and the Payment Services Regulations. She also advises on non-sector specific legislation such as unfair terms and data protection.

The multi-jurisdictional projects she has worked on also means she is used to working with colleagues in other international offices to carry out reviews for clients who operate, or wish to operate, across multiple borders.

Representative Experience

Advising the GSMA on the impact of the second Payment Services Directive and on options for amending the Directive on a variety of mobile payments models.

Advising a major bank in relation to the introduction of a new global payments and merchant acquiring service to various global corporate clients.

Advising a money transfer company on payments regulation, including drafting the standard commercial agreement for a bill payments service, and related advice.

Advising a number of major UK banks on the implementation of the Mortgage Credit Directive.

Advising the UK's largest mortgage lender on a project to redraft their entire mortgage documentation suite.

Advising major UK banks on implementing the Payment Services Directive, Banking Conduct of Business Sourcebook and Consumer Credit Directive requirements.

Assisting with drafting of the document suite for the establishment of a new bank.
