Gregory F. Parisi

Greg Parisi has more than 15 years of experience advising financial institutions and other companies on a wide range of transactional, corporate, commercial and regulatory matters. Greg brings a wealth of knowledge, business insight and practical problem-solving skills to benefit his clients.

He has broad background advising on mergers and acquisitions, initial and follow-on public offerings and other public and private financing transactions for both issuers and underwriters, tender and exchange offers, corporate governance matters and securities law and exchange compliance matters.

Greg is also a member of the firm's FinTech practice, skilled at navigating the intersection of corporate, commercial and regulatory aspects of such transactions.

Representative Experience

Advised public company issuers in public offerings of more than US$9bn of debt in 2015.

Advised Western Alliance Bancorporation on its acquisition of Bridge Capital Holdings.

Advised Radius Bancorp, Inc. on its sale to private equity investors and recapitalization transaction.

Advised Regions Bank in its first-of-its-kind online lending arrangement with Fundation, Inc.

Advised Alliance Financial Corporation in its sale to NBT Bancorp Inc.

Advised Towne Holdings in its recapitalization and sale to private equity investors.

Advised National Rural Utilities Cooperative Finance Corporation in connection with exchange offers for more than US$500m of debt securities.
