Andrea Gregory

Leveraging her background in franchising, licensing, and distribution, Andrea Gregory takes a business-oriented approach to support complex commercial transactions.

Andrea draws on her experience working with businesses at all stages of development, from start-ups to Fortune 500 companies, in negotiating and drafting the best deals for her clients. As a member of our Intellectual Property, Media, and Technology practice, Andrea works across many industries, including automotive, communications, education, defense, franchise, information technology, and retail.

Before joining the firm, Andrea worked at one of the country's top franchising law firms, where she fostered client expansion into domestic and international markets and protected intellectual property portfolios on both the transactional and dispute resolution sides of the practice. Prior to that, Andrea gained extensive international experience through her roles as a law clerk at the New Zealand Human Rights Review Tribunal, a summer associate for law firms in Switzerland and Cambodia, and as an intern for the American Bar Association's Rule of Law Initiative in Morocco and for the U.S. Mission to NATO in Belgium. At law school, she was a member of the William & Mary Environmental Law & Policy Review.

Representative experience

Drafted employee non-disclosure and confidentiality agreements for defense contractor and consulting company.

Negotiated master services agreements, licensing agreements, and service orders for leading telecommunications company.

Conducted due diligence review of intellectual property rights for corporate acquisition of e-discovery company.

Wrote intellectual property representations and related assignment agreements to establish joint venture pharmaceutical company.

Advised leading energy provider on various ancillary telecommunications services agreements, figuring into divesture of telecommunications service provider subsidiary entity.

Managed international localization of information technology outsourcing program for global cosmetics company.
