Jonathan Elsasser helps health care and life sciences companies navigate complex antitrust and health regulatory issues and achieve their business goals.

Jonathan has extensive experience at all phases of the merger review process and has represented clients on matters before the Federal Trade Commission, U.S. Department of Justice, and several state attorneys general. While Jonathan has worked with clients in a variety of industries, he has significant experience representing health care and life sciences companies, including hospitals and health systems, payers, health technology companies, medical supply distributors, medical device manufacturers, and pharmaceutical companies. Jonathan has advised clients on a wide range of transaction-related issues, including assessments of proposed transactions or collaborations, Hart-Scott-Rodino filings, government investigations, and information sharing and integration planning.

Jonathan also regularly advises clients on regulatory issues related to sales strategies, strategic initiatives, the fraud and abuse laws, and compliance policies and procedures.

He is a member of the American Bar Association (ABA) Antitrust Section and the American Health Lawyers Association. Prior to law school, Jonathan worked as a paralegal on antitrust, environmental, and litigation matters at a Washington, D.C., law firm.

Representative experience

Represented Atrium Health and Wake Forest Baptist Health in a combination investigated by the Federal Trade Commission.

Counsel to Albert Einstein Healthcare Network during the Federal Trade Commission's and Pennsylvania Attorney General's investigation of its proposed sale to Thomas Jefferson University.

Represented Wake Forest Baptist Health during the Federal Trade Commission's review of its acquisition of High Point Regional Hospital from UNC Health.

Antitrust counsel to Penn State Health on various matters.

Antitrust counsel to a health technology company on several proposed and completed transactions.

Counsel to a pharmaceutical manufacturer on implementation of and compliance with a Corporate Integrity Agreement.
