Ed Sledge's practice focuses on the development, privatization, and project financing of major infrastructure projects.

He brings to bear in P3 transactions an extensive background representing developers, underwriters, and financial institutions in connection with the issuance of tax-exempt bonds, especially the more specialized private activity bonds. He has a deep understanding of, and perspective on, project development and project finance gleaned from years of representing private-sector project sponsors.

Ed represented sponsors and governmental agencies in the first generation of what are now commonly called P3 projects in the United States. He was an early architect of the legal structure most effective for implementing public-private partnerships for the construction, delivery, and long-term operation of critical infrastructure. Many of these early projects involved energy-from-waste facilities that utilized sophisticated risk-allocation structures that allowed local governments to outsource the construction and operation of capital-intensive infrastructure while enabling private sponsors to bring their expertise, efficiency, and capacity to bear greater economic risk to the public infrastructure arena, which had theretofore been the exclusive domain of local government.

Ed is also experienced in negotiating the wide range of contracts essential to implementation of major infrastructure projects, including long-term service agreements, construction contracts, operating agreements, long-term fuel supply contracts, rail haul agreements, site leases, and host community agreements.

Before joining Hogan Lovells, Ed was head of public finance at a major law firm and participated in all phases of state and local government finance. He has represented issuers, underwriters, and banks in connection with tax-exempt financings of capital projects for state and local governments, corporate tax-exempt borrowings, hospital and health care financings, industrial development bond issues, and pollution control financings.

Representative experience

Advised Assured Guaranty in relation to the insurance of the bond issuance on the Goethals Bridge P3 project.

Represented the underwriters and lenders in support of the Ohio River Mobility Group's bid for the Ohio East End Bridge project.

Represented Assured Guaranty Municipal Corp. in its potential role as a bond insurer for the bonds to be issued in connection with the Ohio East End Bridge project.

Advised the consortium of Kiewit and Bechtel bidding for the Northwest Corridor design-build-finance project.

Advised the underwriters in support of the bid of a consortium of bidders for the Maryland Transit Administration's Purple Line Light Rail Project.
