On the front lines of the firm's Latin America practice, Eddy Carvajal provides proactive, business-minded, and results-oriented legal advice and support to transactional clients across a variety of industries. He advises international clients who want to enter or broaden their footprint in Brazil and other South American markets. He also guides regional clients who seek access to funding sources, capital markets, strategic partners and investments, or other transactional opportunities abroad.

Eddy advises clients on a wide range of business law matters, including lending and project finance deals, joint venture and joint development transactions, mergers and acquisitions, capital markets, and securities regulation matters. Currently based in Rio de Janeiro, he worked in our Washington, D.C. office for several years before rejoining the firm in Brazil in 2015.

With his diverse practice and the ability to converse in English, Portuguese, and Spanish, Eddy assists clients from many industry sectors, including energy, private equity, hospitality, automotive, entertainment, food, and manufacturing companies.

Representative Experience

Provided strategic corporate advice to a multinational energy corporation in connection with its engineering, procurement, and construction contracts.

Advised a multinational energy corporation in connection with export credit finance arrangements.

Represented a Brazilian entrepreneur in connection with debt financing for the acquisition and turn-around of a distressed business.

Managed complex and often time-sensitive transactions involving coordination of various work-streams.

Assisted various M&A clients with due diligence review of Portuguese- and Spanish-language agreements of various target businesses.

Represented international energy company in structuring a joint venture to acquire, develop, and manage a natural gas pipeline across North America.

Advised a multinational hospitality company in a private offering of notes under Rule 144A and Regulation S.

Provided strategic corporate advice on commercial contracts and marketing/advertising agreements for a restaurant chain owner/operator.

Represented a renewable energy developer in connection with the sale of several wind power-generation projects.
